But Colossal Karel is the takeover winner this week.
Gerdau Ameristeel Corp. (GNA) on Tuesday agreed to acquire Chaparral Steel Co. (CHAP) for $4.22 billion, or $86 a share in cash.
The offer is a 13.6% premium over Chaparral's closing price Tuesday of $75.69 in New York.
Gerdau Ameristeel expects that the combination with Chaparral Steel's operations will generate annual pretax operating synergies of more than $55 million by the end of 2008.
The company also expects that the transaction will be slightly dilutive to its 2007 and 2008 earnings per share after considering expected synergies and after taking into effect the contemplated equity issuance.
Gerdau Ameristeel is controlled by Brazilian steelmaker Gerdau (GGB).
Chaparral Steel's board has already approved the transaction and is urging shareholders to vote in favor of the deal.
After the acquisition is completed, which is expected later this year, Gerdau Ameristeel will explore the issuance of equity securities, with the goal of achieving a prudent level of capitalization and maintaining a strong balance sheet.
Chaparral, which has about 1,400 employees and annual capacity of 2.9 million metric tons, is the second largest producer of structural steel products in North America and also a major producer of steel bar products. It operates a mini mill in Midlothian, Tex. and in Dinwiddie County, Va.
Its products are marketed throughout the United States, Canada and Mexico, and to a limited extent in Europe.
J.P. Morgan Securities Inc. acted as exclusive financial advisor to Gerdau Ameristeel while Goldman Sachs acted as advisor to Chaparral.

It seems that the farmer turned off the electric fence some time ago, and the bull finally figured it out! He is loose and on a rampage- like he was that day he started to work for Mr. Xingzhou back in March.
